RESEARCH CONSULTATION SERVICES AGREEMENT

Official Terms and Conditions

This Agreement is made between AMPURE CENTRE and the Client for the provision of research consultation, support services, and/or related work.

IMPORTANT: By engaging the services of AMPURE CENTRE, the Client agrees to the following terms. Please read this agreement carefully before proceeding with our services.

DEFINITIONS

"Agreed Fee"

means the total price for the Services as confirmed in writing by the Service Provider following the Client's acceptance of a written Project Proposal.

"Completion" / "Delivery"

means the Service Provider has sent the final deliverables to the Client's designated email address and received a system-generated delivery confirmation, read receipt, or written acknowledgment of receipt from the Client.

"Project Commencement"

means the date the Service Provider begins substantive work on the Services, following: (a) the Client's written acceptance of these Terms and a Project Proposal; and (b) receipt of any required Deposit.

"Project Scope"

means the specific services, deliverables, and requirements detailed in the Project Proposal accepted by the Client.

"Client-Provided Materials"

refers to any documents, data, research, drafts, or other content provided by the Client for review, continuation, or incorporation into the Services.

SCOPE OF SERVICES

AMPURE CENTRE provides comprehensive research support services

1.1. AMPURE CENTRE provides a wide range of professional support services, including but not limited to:

  • Research Consultation: Topic formulation, proposal writing, literature review, methodological guidance.
  • Data Services: Data gathering, cleaning, quantitative and qualitative analysis (SPSS, nVivo, R, etc.).
  • Project Support: Research defense preparation, editing, proofreading, formatting, and guidance.
  • Review & Development Services: Review, critique, proofreading, commenting, and suggestions on Client-Provided Materials; continuation and development of partially completed work.
  • Publication Support: Manuscript preparation, journal selection, submission support.
  • Public Health Education: Evidence-based presentations and health training.

1.2. All services are tailored to support healthcare professionals, students, and organizations in achieving high-quality, research-driven outcomes.

1.3. The specific scope, deliverables, timeline, and Agreed Fee for each project shall be detailed in a written Project Proposal, which, upon written acceptance by the Client, shall form an integral part of this Agreement.

OUR COMMITMENTS TO THE CLIENT

At AMPURE CENTRE, we are dedicated to maintaining a high standard of service and a respectful, supportive relationship with every client. We commit to:

  • Providing honest, clear, and timely communication throughout the service engagement.
  • Delivering quality-driven and research-based solutions in line with the Client's instructions, the Project Scope, and agreed timeline.
  • Respecting the Client's privacy and ensuring confidentiality of all data, documents, and Client-Provided Materials shared.
  • Offering professional guidance and expert input to support the Client's goals and success.
  • Making every effort to meet or exceed expectations, and responding promptly to any concerns or revision requests.
  • Acting with integrity, respect, and transparency in all interactions.
  • Adhering to professional academic and research integrity standards, including the delivery of work that is plagiarism-free to the best of our knowledge and ability, and clarifying the nature of our support as consultative guidance.

PAYMENT TERMS

3.1. Deposit & Final Payment: A non-refundable Deposit of 50% of the Agreed Fee is required before Project Commencement. The remaining balance is due in full within 24 hours of Delivery of the final deliverables. Payment for any additional services or revisions outside the free policy (Section 4) is due immediately upon agreement.

3.2. Payment Method: All payments must be made via M-Pesa to 0704414846, or another method agreed upon in writing.

3.3. Consequences of Non-Payment: Failure to make payment within the stated period is considered a material breach of this Agreement. In such cases, AMPURE CENTRE reserves the right to:

  • Suspend all current and future services;
  • Withhold all deliverables and related materials;
  • Employ lawful means for debt recovery, including third-party collection services and/or legal proceedings.
  • The Client shall be liable for all reasonable costs (including legal and collection fees) incurred in recovering unpaid amounts.

3.4. Invoicing: All fees are quoted and payable in Kenyan Shillings (KES).

REVISION POLICY

4.1. AMPURE CENTRE offers up to three (3) revisions of submitted work within 6 months of Delivery, under the following conditions:

  • Revision requests must be made in writing, specifying the required changes with reference to the original Project Scope.
  • Revisions must relate directly to the original instructions and Project Scope.
  • Revisions may include: content clarification, minor corrections, formatting adjustments, or improvements that do not significantly change the nature of the project.

EXEMPTIONS – WHEN NEW CHARGES APPLY

5.1. Revisions will not be provided under the free policy if:

  • The Client changes the topic, objectives, methodology, or format of the original request beyond what was agreed in the Project Scope.
  • The revision request involves substantial changes exceeding 30% of the completed work or requires new research/analysis.
  • More than three revision rounds are requested.
  • Revisions are for purposes outside the originally agreed deliverables.
  • The request is made after the 6-month revision period has elapsed.

5.2. In such cases, a new Project Proposal and additional payment will be required before work proceeds.

CLIENT RESPONSIBILITIES

To ensure quality and timely delivery of services, the Client agrees to:

  • Provide complete, accurate, and timely information and Client-Provided Materials at the start of the engagement.
  • Clearly specify the desired level of intervention for review services (e.g., proofreading only, substantive comments, full continuation).
  • Respond promptly to communication and feedback requests from the Service Provider.
  • Make payments as stipulated in Section 3.
  • Use the delivered work in accordance with all relevant institutional, academic, and professional codes of ethics and conduct.

WARRANTIES & ACADEMIC INTEGRITY

7A. SERVICE PROVIDER WARRANTIES

AMPURE CENTRE warrants that:

  • The Services will be performed with reasonable skill, care, and diligence by qualified individuals.
  • To the best of its knowledge and using professional diligence, the deliverables provided will be original and free from plagiarism.
Human-Created Work & AI Policy:
  • Primary Human Authorship: All research, critical analysis, substantive writing, and intellectual development of your project are performed directly by our human consultants. We do not use Generative Artificial Intelligence (AI) tools to create, write, or generate original research content.
  • Permitted Use of Assistive Tools: We may use standard software tools strictly for productivity, editing, and analysis, including grammar/spell-checkers, reference management software, and statistical packages.
  • Our Commitment & Your Assurance: Our methodology is designed to produce authentically human-crafted work. Consequently, our deliverables are highly unlikely to be flagged as AI-generated by standard detection software.
  • Limitation on AI Detectors: The Client acknowledges that AI detection software is inherently imperfect and can produce false positives. AMPURE CENTRE does not guarantee any specific result from any third-party AI detection tool.
  • The nature of the service is consultative, advisory, and instructional. Deliverables are provided as guidance, models, or developmental support to enhance the Client's own work.
  • For review and continuation services, the Service Provider will work based on the Client-Provided Materials but does not warrant the accuracy, originality, or quality of the Client's pre-existing work.
  • Final Client Responsibility: The Client retains final responsibility for the accuracy, integrity, and final presentation of all content.

7B. CLIENT'S ACADEMIC INTEGRITY DECLARATION

The Client warrants and declares that:

  • They will use the services and deliverables in strict compliance with all applicable institutional policies on plagiarism, the use of AI-generated content, authorship, and external assistance.
  • They understand the nature of the service and that misrepresenting the provided work as their own unaided work may constitute serious academic misconduct.
  • They are solely responsible for verifying their institution's specific rules regarding the use of consultation services and for the final submission of any work.
  • They acknowledge the Human-Created Work & AI Policy and accept that the ultimate responsibility for submission lies with them.
  • For review/continuation services, the Client warrants that any Client-Provided Materials they submit are their own original work or properly licensed.

CONFIDENTIALITY AND DATA PROTECTION

AMPURE CENTRE treats all information and Client-Provided Materials shared by the Client with strict confidentiality. No part of the data, documents, or communication will be disclosed to third parties without the Client's written consent, except as required by law. The Service Provider shall implement reasonable measures to protect Client data.

9

INTELLECTUAL PROPERTY

9.1. Client-Provided Materials: The Client retains all ownership rights to any Client-Provided Materials. The Client grants AMPURE CENTRE a limited, non-exclusive license to use, modify, and develop such materials solely for the purpose of providing the Services under this Agreement.

9.2. Deliverables & Ownership Transfer: Ownership of the final deliverables transfers to the Client only upon receipt by the Service Provider of the Agreed Fee in full. Until full payment is received, AMPURE CENTRE retains all rights to the deliverables.

9.3. Background IP: All background intellectual property of AMPURE CENTRE remains its sole and exclusive property. The Client is granted a non-exclusive, non-transferable license to use the final deliverables for their personal, non-commercial research or educational purposes only.

LIMITATION OF LIABILITY

AMPURE CENTRE provides services with utmost professionalism and integrity. However:

  • The Service Provider is not responsible for any decisions, evaluations, grades, rejections, or outcomes determined by the Client's institution or any third-party body.
  • The Client is solely responsible for the final application, interpretation, presentation, and submission of the work.
  • In no event shall AMPURE CENTRE's total liability to the Client exceed the total Agreed Fee paid for the specific project giving rise to the claim.

TERMINATION

This Agreement may be terminated by either party with written notice. However, services already delivered or substantially completed at the time of termination must be paid for in full according to the Agreed Fee or a prorated amount for work completed. Unpaid deliverables and work-in-progress remain the property of AMPURE CENTRE.

DISPUTE RESOLUTION

In the event of a dispute:

  • Both parties agree to first seek an amicable resolution through direct, written communication within 14 days.
  • If unresolved, the parties shall attempt mediation through a mutually agreed mediator in Nairobi, Kenya.
  • If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of Kenya.

ENTIRE AGREEMENT & ACCEPTANCE

13.1. This document, together with any accepted Project Proposal, represents the entire agreement between the Client and AMPURE CENTRE regarding the specified services and supersedes any prior discussions or agreements.

13.2. A binding agreement for a specific project is formed when: (a) the Client receives these Terms; (b) the Service Provider provides a written Project Proposal; and (c) the Client manifests unambiguous acceptance.

13.3. The Client's performance of any of the following acts constitutes full and final acceptance of both the Project Proposal and these Terms and Conditions, with or without a physical signature:

  • Providing written acceptance via email or signed agreement;
  • Making a payment (including the Deposit) for the services;
  • Providing any Client-Provided Materials or additional instructions for the project;
  • Engaging in any other conduct that reasonably indicates the Client's intent to proceed with the Services.

CLIENT INFORMATION & ACCEPTANCE

I hereby accept the AMPURE CENTRE Terms and Conditions above and the Project Proposal for the services described. I understand my responsibilities regarding academic integrity and payment.

FOR AMPURE CENTRE
